1. About Operly and these Terms
These Terms of Service (the “Terms”) govern access to the website at operly.dev and the software, hosted applications, AI agents, automation tools, and related services provided by Operly Inc., a Delaware corporation (“Operly,” “we,” “us,” or “our”), collectively the “Services.” Our mailing address is 1604 Carter Ave, Johnson City, TN 37604, United States. This is our correspondence address, not a representation of our Delaware registered office.
By accepting these Terms when creating an account or ordering Services, you agree to them. If you act for a business or other organization, you represent that you have authority to bind that organization; “you” and “Customer” then mean that organization. You must be at least 18 years old and legally able to enter a contract. If you do not agree, do not create an account or purchase Services.
An order form or separate agreement signed by both parties controls over these Terms to the extent of a conflict. A data processing agreement signed by both parties controls with respect to its subject matter. Our Privacy Policy explains how personal information is handled. Commercial self-hosted deployments are also subject to the Self-Hosted Terms. These Terms do not replace rights granted under an applicable open-source license.
2. Accounts and authorized users
You must provide accurate account and billing information, keep it up to date, protect credentials and API keys, and notify us promptly of suspected unauthorized access. You are responsible for activity by people you authorize to use your account and for their compliance with these Terms. Organization administrators may manage users, permissions, and organization content. You must not share credentials in a way that circumvents purchased user limits.
3. Access and acceptable use
During your subscription, and subject to these Terms and the limits of your plan, Operly grants you a limited, nonexclusive, nontransferable right to access and use the Services for your lawful business purposes. You may build and share applications as permitted by your plan and are responsible for the permissions and content of those applications.
You must not use the Services to violate law or others’ rights; distribute malware; commit fraud; gain unauthorized access; interfere with security or availability; send unlawful spam; or circumvent usage, payment, or access restrictions. You must not resell access to the Operly platform unless authorized in writing. You may not reverse engineer proprietary components except to the extent that applicable law permits despite this restriction. Restrictions in these Terms do not limit permissions expressly granted by an applicable open-source license.
4. Customer content and data
You retain your rights in data, prompts, files, application content, and other materials you submit to the Services (“Customer Content”). You represent that you have the rights, notices, and permissions necessary for Operly and the service providers you authorize to process that content. You are responsible for lawful collection and use of personal information in your applications, including information about your employees and customers.
You grant Operly a limited right to host, copy, transmit, process, and display Customer Content solely as necessary to provide and secure the Services, perform your instructions, and comply with law. This does not transfer ownership of Customer Content to Operly. Processing of personal information is subject to applicable law, our Privacy Policy, and any applicable data processing agreement.
You control what you publish or share. Content in publicly shared applications may be accessible to others. Maintain appropriate backups and export copies of data important to your operations. Do not submit regulated health information, payment-card data, or other specially regulated sensitive data unless the relevant service is expressly approved for that use and any required separate agreement is in place.
5. AI features and third-party services
AI outputs can be inaccurate, incomplete, biased, or similar to outputs received by others. You must review outputs and test automations before relying on them or allowing them to take consequential actions. Outputs are not professional advice and should not be used as the sole basis for decisions that materially affect an individual’s rights, health, employment, or access to essential services.
You decide whether to connect third-party models, databases, integrations, and accounts. Those services may be governed by separate terms, charges, and privacy policies. By enabling a connection, you authorize the transfer of information needed for that connection. Operly does not control third-party services and cannot guarantee their continued availability. As between you and Operly, you retain your rights in inputs and may use outputs to the extent permitted by applicable law and any applicable third-party terms; we do not guarantee that outputs qualify for intellectual property protection.
6. Fees, billing, and taxes
Prices, billing intervals, usage allowances, and any trial terms will be disclosed at checkout or in your order form. Amounts are stated in U.S. dollars unless otherwise specified. You authorize only the charges disclosed and agreed to when ordering, including disclosed usage charges. You are responsible for applicable sales, use, and similar transaction taxes, excluding taxes on Operly’s net income.
If a subscription automatically renews, its renewal interval and price will be disclosed before purchase, and recurring charges require your affirmative agreement. A trial will convert to a paid plan only if that conversion and its charges were disclosed and you agreed to them. We will provide reminders and notices where required by law.
We may change prices for a future renewal period after giving at least 30 days’ notice, or a longer period where required by law. A price change will not alter a prepaid subscription period. We may suspend an overdue paid account after notice and a reasonable opportunity to resolve payment, except where law requires otherwise.
7. Cancellation and refunds
You may cancel renewal through available account billing controls or by contacting Operly through the contact channel on your receipt or order form. If those channels are unavailable, you may send a cancellation notice to the mailing address in Section 1. We will honor a timely cancellation request and provide any additional cancellation method required by applicable law. Cancellation normally takes effect at the end of the paid subscription period; you may continue using paid access until then unless your account is terminated for another permitted reason.
Except as required by law, stated in your order form, or expressly provided in these Terms, fees for an already-started billing period are nonrefundable. This does not limit statutory cancellation or refund rights. If Operly ends a paid service for convenience before the end of your prepaid period, we will refund the unused portion of the affected prepaid fees. No charge will be imposed merely for canceling renewal.
8. Service changes, support, and beta features
We may improve or modify the Services. If we discontinue a material paid feature without a reasonably equivalent replacement during your prepaid term, you may terminate the affected service and request a proportional refund of unused prepaid fees. Availability guarantees, response times, and service credits apply only if expressly stated in your plan or a written service-level agreement. Beta, preview, and free features may change or be withdrawn and may be unsuitable for production use.
9. Intellectual property and confidentiality
Operly and its licensors retain their rights in the Services, software, documentation, and branding, excluding Customer Content and materials governed by separate licenses. You may not imply endorsement or use our trademarks without permission. You may provide feedback voluntarily; Operly may use it without payment or restriction, but this does not grant rights to your confidential information or Customer Content.
Each party will protect nonpublic information received from the other that is identified as confidential or reasonably should be understood to be confidential. The recipient may use it only to perform this agreement and disclose it only to people who need to know and are subject to appropriate confidentiality duties. This obligation does not cover information lawfully obtained without restriction, independently developed, or publicly available without a breach. Legally required disclosure is permitted, with notice where lawful and reasonably practicable.
10. Suspension and termination
We may suspend access to address a material breach, an actual security threat, unlawful activity, or a legal requirement. We will limit the suspension to what is reasonably necessary and provide notice and an opportunity to resolve the issue where practicable. Either party may terminate for a material breach that remains uncured 30 days after written notice, except where immediate action is reasonably necessary or the breach cannot be cured.
When your subscription ends, your right to use the affected paid Services ends. We will provide a reasonable opportunity to export Customer Content before deletion where legally permitted and technically practicable; export should be completed before closing your account. Retention and deletion are subject to the Privacy Policy, any data processing agreement, and legal obligations. Provisions intended by their nature to survive, including payment obligations already incurred, ownership, confidentiality, liability limits, and dispute provisions, survive termination.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR EXPRESS COMMITMENTS IN A SIGNED AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OPERLY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR AI OUTPUTS WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR EVERY USE. THESE DISCLAIMERS DO NOT EXCLUDE WARRANTIES OR REMEDIES THAT CANNOT LAWFULLY BE EXCLUDED.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE UNDER THESE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES. EACH PARTY’S AGGREGATE LIABILITY ARISING OUT OF THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE FEES PAID OR PAYABLE BY YOU FOR THE AFFECTED SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to fraud, willful misconduct, gross negligence, your obligation to pay agreed fees, or liability that applicable law does not permit to be limited. Nothing in these Terms restricts a remedy or consumer protection that cannot lawfully be waived. A separate signed agreement may establish different liability provisions.
13. Compliance with U.S. law
Each party will comply with laws applicable to its activities under these Terms, including applicable U.S. export-control and sanctions laws. You may not access, export, or transfer the Services in violation of those laws. You must not use the Services for unlawful discrimination or unlawful surveillance. These Terms do not make a third-party product or your application compliant with any particular regulatory standard.
14. Governing law and dispute resolution
These Terms and disputes arising out of or relating to them or the Services are governed by the laws of the State of Delaware and applicable federal laws of the United States, without regard to conflict-of-law rules that would require application of another jurisdiction’s law.
Subject to the mandatory rights described below, the parties consent to the exclusive jurisdiction and venue of the state courts located in Delaware and the United States District Court for the District of Delaware, in each case only to the extent that the court has subject-matter jurisdiction. Neither the choice of Delaware law nor this forum clause deprives a consumer of nonwaivable protections or the right to bring a claim in a court that applicable mandatory law permits. Either party may bring an eligible claim in a small-claims court of competent jurisdiction.
Before filing a claim, we encourage the parties to contact each other and attempt a good-faith resolution. This does not delay a filing deadline or prevent urgent relief. These Terms do not require arbitration and do not impose a class-action or jury-trial waiver.
15. Changes, notices, and general provisions
Material changes to these Terms will be notified by account email or a prominent service notice at least 30 days before taking effect, except where an earlier change is required by law or needed to address an urgent security issue. Changes apply prospectively; they do not retroactively change an existing dispute. Where affirmative acceptance is legally required, we will request it. If you do not accept a material change, you may stop using the Services and cancel renewal; prepaid rights remain governed by the terms that applied to that period unless you agree otherwise.
These Terms and your applicable order form are the entire agreement regarding their subject matter. An unenforceable provision will be limited to the extent permitted by law, and the remaining provisions remain effective. A failure to enforce a provision is not a waiver. Neither party may assign this agreement without the other’s consent, except to a successor in a merger, reorganization, or sale of substantially all relevant assets that assumes the obligations. Neither party is responsible for delay caused by events beyond its reasonable control, except payment obligations for Services already provided. The parties are independent contractors.
