1. Scope and contracting entity
These Self-Hosted Terms supplement the Operly Terms of Service for commercial Operly software deployed on infrastructure controlled by you or your hosting provider. The contracting entity is Operly Inc., a Delaware corporation (“Operly”). Its mailing address is 1604 Carter Ave, Johnson City, TN 37604, United States. This is a correspondence address, not the company’s Delaware registered office.
The Terms of Service apply, including their provisions on fees, confidentiality, disclaimers, liability, governing law, and disputes. These Self-Hosted Terms control for self-hosting-specific issues; an order form or separate agreement signed by both parties controls over both documents to the extent of a conflict.
2. Commercial license
Subject to payment and compliance with the applicable order form, Operly grants you a limited, nonexclusive, nontransferable license during the agreed subscription term to install and use the licensed proprietary components on the infrastructure and within the user, instance, and other limits stated in that order form. Your authorized users may use those components for your lawful business purposes. Rights to distribute or sublicense proprietary components require a separate written agreement.
3. Open-source and third-party components
Components supplied under open-source or other third-party licenses remain governed by their respective licenses. These Self-Hosted Terms do not remove or restrict rights those licenses grant. Preserve applicable attribution, copyright, and license notices, and comply with any applicable source-code or redistribution requirements. Expiration of a commercial subscription does not terminate rights independently granted by an open-source license.
4. Your infrastructure and data
You are responsible for provisioning, administration, access controls, updates, network security, backups, recovery, and lawful operation of your infrastructure. You control the data stored in your self-hosted deployment and are responsible for the notices and permissions required for processing it. Operly does not gain general access to your deployment solely because you purchase a license.
If you enable cloud features, third-party models, integrations, license activation, or remote support, information may be transmitted as described in the applicable feature documentation and Privacy Policy. Provide only information necessary for support, remove unnecessary personal information, and authorize any remote access expressly. A separate data processing agreement may be required if Operly processes personal information on your behalf.
5. Updates, support, and availability
Support coverage, supported versions, updates, and any response commitments are those expressly included in your plan or written agreement. Operly is not responsible for the uptime or security of infrastructure it does not control. Evaluate updates in an appropriate test environment and maintain backups before installation. Custom development, migration, managed hosting, and professional services require an applicable order form or statement of work.
6. Subscription expiration
When a commercial subscription ends, stop using the proprietary features whose license has expired, unless a separate agreement grants continuing rights. Preserve or export your data before making changes to your deployment. You remain responsible for your infrastructure and data. Applicable open-source rights and the survival provisions of the Terms of Service continue independently.
7. Governing law and contact
The Delaware-law and dispute-resolution provisions of Section 14 of the Terms of Service apply, including protections for nonwaivable consumer rights. These Self-Hosted Terms do not require arbitration or impose a class-action or jury-trial waiver.
